Shelly Robinson LLC shall pay the Affiliate a commission based on the Net Revenue generated from new customers directed by the Affiliate’s efforts. The “Net Revenue” shall be defined as: the monthly fees paid by customers directed by the Affiliate, less any chargebacks (credit card refunds), credits given to customers.
The commission rate will be 20% of Net Revenue, including any shipping and sales tax amounts charged at the time of checkout. Commission will not be paid on duties or any other charges unrelated to shipping and sales tax related to the sale of the Services.
The commission will be paid on a monthly basis, within 30 days following the end of each month. The Affiliate shall receive a monthly report detailing the Net Revenue and calculation of the commission.
Cookies
Definition and Duration: For this Agreement, a “cookie” refers to a small piece of data sent from a website and stored on the user’s computer by the user’s web browser while browsing. Shelly Robinson LLC shall use cookies to track customers referred by the Affiliate to the company’s website, www.shellyrobinson.com. The duration of the tracking cookie shall be set for 60 days (“Cookie Duration”) from the initial click-through.
Commission Eligibility: The Affiliate shall be eligible to earn a commission on sales to a referred customer if the sale occurs within the Cookie Duration period, starting from the date and time when the customer first clicked on the Affiliate’s specific referral link.
Cookie Expiration and Renewal: Once the Cookie Duration expires, the Affiliate will no longer receive credit for sales from that specific customer unless the customer again clicks on the Affiliate’s referral link, thereby initiating a new Cookie Duration period.
Overwriting Cookies: If a referred customer clicks on another affiliate’s link after initially clicking on the Affiliate’s link but still within the original Cookie Duration, the original cookie set (associated with the first click-through) will determine which affiliate is credited with the sale, unless otherwise specified by the affiliate tracking policy.
Promotion Codes
Issuance of Promotion Codes: Shelly Robinson LLC may provide the Affiliate with unique promotion codes (“Affiliate Promo Codes”) to promote the Company’s products or services. These codes can offer a discount or other incentives to potential customers and are linked to the Affiliate’s account for tracking sales.
Priority of Cookie Tracking: In instances where both a tracking cookie and an Affiliate Promo Code are present, the tracking cookie’s data will take precedence over the use of the Affiliate Promo Code to assign commission. This means that if a customer has been referred through an affiliate link (tracked by cookies) and also uses an Affiliate Promo Code, the commission for that sale will be determined based on the cookie tracking information, attributing the sale to the affiliate whose link was used by the customer first.
Affiliate Promo Code Tracking: While Affiliate Promo Codes are an effective tool for conversion, their primary role under this Agreement is to offer incentives to potential customers. Affiliates are encouraged to use these codes as part of their promotional activities; however, commission attribution will primarily rely on cookie-based tracking to ensure the integrity of the referral process.
Modification and Expiration of Promo Codes: Shelly Robinson LLC reserves the right to modify the terms of use for Affiliate Promo Codes or to terminate their validity at any time. Affiliates will be notified of any such changes and must adjust their promotional activities accordingly.
LIABILITY AND INDEMNITY
Each Party will indemnify, defend and hold the other Party harmless, including costs and attorneys’ fees, from any claim or action brought by a third party relating to the negligence, gross negligence, or intentional misconduct of the other Party.
Neither Party shall be liable to the other for any special, indirect, incidental, punitive, or consequential damages arising from or related to this Agreement.
DATA PRIVACY AND PROTECTION
The Affiliate must comply with all data protection laws and regulations applicable to them in their handling of user data obtained in relation to this Agreement.
The Affiliate must not disclose, or allow any third party to access, any user data without the prior written consent of Shelly Robinson LLC.
